A New Zealand company that wishes to engage in FX and associated activities must be registered as a Financial Services Provider.  Financial service means any of the following financial services:
 

A:  keeping, investing, administering, or managing money, securities, or investment portfolios on behalf of other persons

B:  providing credit under a credit contract

C:  operating a money or value transfer service

D:  giving financial guarantees

E:  participating in an offer of securities to the public in either of the following capacities:

§  (i) as an issuer of the securities

§  (ii) as a promoter

E: changing foreign currency

F: entering into derivative transactions, or trading in money market instruments, foreign exchange, interest rate and index instruments, transferable securities (including shares), and futures contracts on behalf of another person

G:  providing forward foreign exchange contracts

 

The Financial Services Provider registration will entails several steps: (i) incorporation of a NZ company; (ii) registration of the company with a Government approved Dispute Resolution Scheme (DRS) or the Government Reserve Scheme; (iii) registration of the company with the Financial Services Provider (FSP) Registry.

 

Our basic package includes the features described below:

1)      registration of a NZ limited liability company;

2)      provision of the registered office and registered address in NZ for the first year;

3)      provision of the company secretary for the first year;

4)      application for and registration of the company in a government approved DSR;

5)      applications for and registration of the company as an FSP in the Financial Service Provider Registry (FSPR);

6)      drafting various applications and supporting documentation to be submitted to the NZ Company’s House, Dispute Resolutions (Reserve) Scheme and Financial Services Provider Registry.

7)      setting up a bank account for the company.

 

Please further note that for a successful registration on the FSP Registry, the Registrar must be satisfied that the company has a genuine place of business in New Zealand. Therefore they will require supporting documentation as to how the company will actually be transacting its business from its New Zealand business address and how it will be operating the financial services listed in the application from that address. They will also need to know how many staff will be involved (part time or full time) and whether the staff will actually be providing the financial service from the business address provided.

 

Representatives from the New Zealand Ministry of Economic Development can (and will) conduct an inspection of the specified place of business to determine whether it is a genuine working premises which offers all of the company’s products and services. Entities which do not offer their services from the place of business can be removed from the FSP register.

 

Therefore, to complete the registration with the FSP Registry, you have to ensure that the company will be able to:

  • Offer financial services in New Zealand,
  • Maintain its physical place of business in New Zealand, and
  • Offer all of its services and products from its place of business in New Zealand, and must be able to transact the service from the place of business.

With this in mind, we can further assist you with complying with the above requirements as set out by the Regulator. In particular, we can assist you with finding a physical office space and hiring staff. You would need at least to have a manager and two administrators. These services will entail further costs which we estimate to be as follows:

1.    Assistance with finding an operational office – US$3,000 USD

2.    Assistance with finding and taking on staff – US$3,000 USD (per person).

 

All directors and shareholders must provide:

1) a notarized copy of the passport 护照公证
2) utility bill to confirm residential address 地址证明
3) bank reference letter 银行资金证明
4) clean criminal record certificate 无犯罪记录证明
